Terms of Service

1. Accepting these terms

These Terms of Service ("Terms") govern your use of nysus.io (the "Site") and our text-messaging program. The Site is operated by Nysus, LLC ("Nysus," "we," "us" or "our"). By using the Site or submitting our contact form, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use the Site.

If you use the Site on behalf of a business, you confirm that you are authorized to accept these Terms for it.

2. Services are under custom agreements

Nysus does not offer standard plans or published pricing. Every engagement is scoped for the client and provided under a separate written agreement, such as a master services agreement, statement of work or signed proposal (a "Client Agreement").

The scope, deliverables, fees, payment terms, service levels, confidentiality, data protection and all other terms of our services are set out in the Client Agreement, and the parties are bound by its terms. If anything in these Terms conflicts with a Client Agreement, the Client Agreement governs.

Descriptions of services on the Site are general information only. They are not an offer, a quote or a commitment to provide any particular service, and no client relationship exists until a Client Agreement has been signed by both parties.

3. Inquiries and consultations

When you submit our contact form, you agree to give accurate information and confirm that you are at least 18 years old. Submitting an inquiry or having an initial consultation does not create a client relationship or any obligation on either side.

Anything we say before a Client Agreement is in place, including in an initial consultation, is general guidance, not professional advice you should rely on for a specific decision. Please don't send confidential or sensitive information until a Client Agreement, or a separate confidentiality agreement, is in place.

4. Text messaging program

Program description. If you opt in, for example by ticking the text-message box on our contact form, Nysus, LLC will send text messages to the mobile number you provided about your inquiry, including scheduling and follow-up. Consent to receive text messages is not a condition of any purchase.

  • Message frequency varies with your inquiry.
  • Message and data rates may apply. Check your mobile plan for details.
  • To opt out, reply STOP to any message. You'll receive one confirmation and no further messages unless you opt in again. You can also ask us to stop by phone or email.
  • For help, reply HELP, call (470) 703-9868, or email leads@nysus.io.
  • Carriers are not liable for delayed or undelivered messages. Delivery depends on your wireless carrier.
  • Eligibility. You must be at least 18 and the account holder for the mobile number, or have the account holder's permission.
  • Changing numbers. If you change or give up your mobile number, reply STOP first or let us know so we don't text the number's next owner.
  • Privacy. We do not share or sell mobile information or text-messaging opt-in data to third parties or affiliates for marketing or promotional purposes. See our Privacy Policy.

5. Using the Site

You agree not to:

  • use the Site for anything unlawful, or to send spam, malware or other harmful content;
  • submit false information, or someone else's contact details without their permission;
  • try to get around the Site's security, including its bot protection, or gain unauthorized access to any system;
  • disrupt or overload the Site, or scrape, copy or harvest its content or other users' information by automated means;
  • impersonate any person or business, or misrepresent your relationship with them.

We may restrict or block access to the Site at our discretion, including to stop abuse.

6. Intellectual property

The Site and its content, including text, graphics, logos and design, are owned by Nysus or its licensors and are protected by intellectual property laws. "Nysus" and the Nysus logo are our trademarks. You may view and print pages for your own business purposes, but you may not otherwise copy, modify, distribute or create derivative works from them without our written permission. Ownership of any work we create for a client is set out in the Client Agreement.

7. Third-party links and services

The Site may link to, or rely on, services we don't control, such as Cloudflare's bot protection. We aren't responsible for their content, policies or practices, and your use of them is subject to their own terms. Mentioning a third-party product or certification does not mean that company endorses us.

8. Disclaimers

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT ITS CONTENT IS COMPLETE OR CURRENT. Any warranties for our services are only those stated in a Client Agreement. Helping a client prepare for an audit or certification does not guarantee that the client will pass it or be certified.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NYSUS AND ITS MEMBERS, OFFICERS, EMPLOYEES AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THE SITE, THESE TERMS OR OUR TEXT-MESSAGING PROGRAM, EVEN IF ADVISED OF THEIR POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Liability for our services is governed solely by the Client Agreement. Some jurisdictions don't allow certain limitations, so some of these may not apply to you.

10. Indemnification

You agree to defend, indemnify and hold harmless Nysus and its members, officers, employees and contractors from any claims, losses and expenses, including reasonable attorneys' fees, arising from your misuse of the Site, your violation of these Terms, or information you submit that you had no right to submit.

11. Governing law and disputes

These Terms are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to the Site or these Terms will be brought exclusively in the state or federal courts located in Georgia, and you and Nysus consent to their jurisdiction. Before filing a claim, each side agrees to try in good faith to resolve the dispute informally by contacting the other. Disputes about our services are resolved as set out in the Client Agreement.

12. Changes to these terms

We may update these Terms from time to time. When we do, we'll change the date at the top of this page. Changes apply from that date and don't affect any Client Agreement already signed. Continuing to use the Site after a change means you accept the updated Terms.

13. General

These Terms, together with our Privacy Policy, are the entire agreement between you and Nysus about the Site, and do not replace any Client Agreement. If any part of these Terms is found unenforceable, the rest stays in effect. Our not enforcing a provision is not a waiver of it. You may not transfer your rights under these Terms; we may transfer ours in connection with a merger, acquisition or sale of our business. Sections that by their nature should survive, including Sections 6 and 8 to 11, survive the end of your use of the Site.
